Pada perusahaan berbentuk CV, termasuk CV. Rifat, penerapan GCG menjadi sangat relevan mengingat adanya pembagian peran antara sekutu aktif sebagai pengelola dan sekutu pasif sebagai penanam modal. Struktur kepengurusan ini menuntut adanya tata kelola yang jelas untuk menghindari konflik internal, meningkatkan kepercayaan pemangku kepentingan. Penerapan GCG pada badan usaha skala kecil seperti CV sering menghadapi keterbatasan struktural, administratif, dan sumber daya. Permasalahan dalam penelitan ini adalah bagaimana penerapan prinsip-prinsip GCG pada CV. Rifat di Bukittinggi Sumatra Barat serta apa saja faktor penghambat dalam penerapan prinsip-prinsip GCG pada CV. Rifat di Bukittinggi Sumatra Barat. Penelitian ini menggunakan metode hukum normatif empiris untuk menganalisis penerapan prinsip GCG pada CV. Rifat di Kota Bukittinggi, Provinsi Sumatra Barat. Pendekatan yang digunakan meliputi statute approach melalui penelaahan peraturan perundang-undangan terkait CV dan GCG, case approach dengan mengkaji praktik penerapan GCG pada CV. Rifat, serta theory approach sebagai landasan konseptual dalam menganalisis prinsip-prinsip GCG. Data penelitian diperoleh dari bahan hukum primer, sekunder, dan tersier serta data empiris melalui wawancara serta dokumentasi, yang selanjutnya dianalisis menggunakan analisis deskriptif kualitatif. Hasil penelitian menunjukkan bahwa CV. Rifat telah menerapkan sebagian prinsip-prinsip GCG yaitu: 1) CV. Rifat telah menerapkan prinsip GCG seperti transparansi dan akuntabilitas dalam pelaksanaan proyek konstruksi. Hal ini tercermin dari penyusunan RAB, RAK, dokumentasi proyek, penerapan standar K3, kepatuhan terhadap UKL-UPL, serta pembagian peran antara sekutu aktif dan sekutu pasif sesuai ketentuan KUHD. 2) Penerapan prinsip responsibilitas, independensi, dan fairness belum berjalan optimal. Hambatan utama meliputi keterbatasan sistem administrasi dan digitalisasi, belum tegasnya struktur organisasi dan pembagian kewenangan, dominasi pengambilan keputusan oleh sekutu aktif, belum adanya pedoman etika dan mekanisme pengaduan internal, keterbatasan akses informasi bagi sekutu pasif, serta ketiadaan perjanjian kerja tertulis bagi sebagian pekerja. Kata kunci: CV, Good Corporate Governance, Penerapan GCG. In companies organized as CVs, including CV. Rifat, the implementation of GCG is highly relevant given the division of roles between active partners as managers and passive partners as investors. This management structure requires clear governance to avoid internal conflicts and increase stakeholder trust. The implementation of GCG in small businesses such as CVs often faces structural, administrative, and resource constraints. The problems in this study are how the GCG principles are implemented at CV. Rifat in Bukittinggi, West Sumatra, and what are the obstacles in implementing the GCG principles at CV. Rifat in Bukittinggi, West Sumatra. This study uses an empirical normative legal method to analyze the implementation of GCG principles at CV. Rifat in Bukittinggi City, West Sumatra Province. The approaches used include a statute approach through a review of laws and regulations related to CVs and GCG, a case approach by examining the practice of GCG implementation at CV. Rifat, and a theory approach as a conceptual basis for analyzing GCG principles. The research data was obtained from primary, secondary, and tertiary legal materials as well as empirical data through interviews and documentation, which were then analyzed using qualitative descriptive analysis. The results of the study show that CV. Rifat has implemented some of the principles of GCG, namely: 1) CV. Rifat has implemented GCG principles such as transparency and accountability in the implementation of construction projects. This is reflected in the preparation of the RAB, RAK, project documentation, the application of K3 standards, compliance with UKL-UPL, and the division of roles between active and passive partners in accordance with the provisions of the Commercial Code. 2) The implementation of the principles of responsibility, independence, and fairness has not been optimal. The main obstacles include limitations in the administrative and digitalization systems, an unclear organizational structure and division of authority, the dominance of decision-making by active partners, the absence of ethical guidelines and internal complaint mechanisms, limited access to information for passive partners, and the absence of written employment agreements for some workers.
